Draft for legal review. This text was written by the product team and has not been reviewed by a lawyer. It is not legal advice. The fields in double square brackets name the legal entity and are filled in once it is decided; the notes marked Lawyer to confirm are decisions a lawyer must confirm or change before any live sale. Both disappear in the reviewed version.
1. Who we are and what these terms cover
These purchase terms (the "Terms") apply to every paid report edition you buy on [[SERVICE_NAME]] at [[SERVICE_DOMAIN]] (the "Service"). The seller is [[SELLER_LEGAL_NAME]], [[SELLER_ENTITY_DESCRIPTION]], with its address at [[SELLER_ADDRESS]] ("we", "us"). You can reach us at [[SUPPORT_EMAIL]].
These Terms add to the Terms of Service and the Privacy Policy of the Service, which continue to apply. Where these Terms and the Terms of Service differ about a purchase, these Terms prevail.
By paying for a report you accept the version of these Terms that is in force at that moment. We show that version on this page, with its date. A later version applies only to purchases made after its effective date.
Lawyer to confirm: that the purchase terms may sit beside the general Terms of Service as a separate document, and the order of precedence stated here.
2. What you buy
The Service sells editions of short, structured explainers of AI markets (each a "Report"). A purchase gives the organization of your account (for a personal account, that is you) the right to read one edition, as published at the time of purchase and as corrected afterwards, through your library on the Service, for as long as the Service operates and your account is in good standing. Only an owner of the organization can buy.
A purchase is a license to read, not a sale of a copy and not a transfer of any right in the text, the figures, the diagrams or the illustrations. Each edition states its license on its page and in the basket before you pay:
- Personal reading license. The buyer reads the edition in their own account.
- Organization reading license. The members of the buying organization read the edition in their own accounts on the Service.
Under either license you may read the edition on the Service, keep notes for your own use, and quote short passages with attribution to the Report and to the Service. You may not:
- copy, download, print, scrape, or otherwise extract the edition, in whole or in substantial part, or circumvent the measures that limit reading to the Service;
- share your account, or share the edition with anyone who does not hold the license;
- resell, sublicense, rent, publish, post, or redistribute the edition or any part of it, with or without payment;
- use the edition, or its text, tables or illustrations, to train, fine-tune, or evaluate a machine-learning model, or to build a product or dataset that competes with the Service;
- remove or alter an author's name, a source, a correction note, or any notice in the edition.
The license is personal to the buying organization, non-exclusive, non-transferable, and may be ended as these Terms say. All rights not granted here are reserved by us and by the authors.
Lawyer to confirm: the scope of permitted quotation (drafted as short passages with attribution) and the restriction on machine-learning use; whether an "organization" license needs a cap on the number of readers.
3. Price and payment
Prices are shown in US dollars. The price you pay is the one shown in the basket when you start the payment; a price change afterwards does not affect an order already paid.
Payments are processed by Stripe, and in the current version by card only. The payment page is Stripe's; we never see or store your card number. A checkout session stays open for 30 minutes, and one basket per organization is open at a time: starting a new one closes the previous one.
Taxes: where we are required to collect sales tax or a similar tax, it is shown before you confirm the payment. Otherwise prices do not include taxes, and you are responsible for any tax that applies to you.
Lawyer to confirm: the sales-tax treatment of digital reports sold to US buyers (nexus, whether Stripe Tax is switched on, and the wording here).
4. Delivery
A Report is delivered into your library on the Service. Your access begins when Stripe confirms the payment to us, which happens by a message from Stripe (a webhook) or by our own check of open orders, which runs every five minutes. In practice that is usually within a minute of paying. The page you return to after paying shows the state of your order, but it does not by itself unlock anything: only the confirmed payment does.
If the payment Stripe reports does not match your order (for example a different total or currency), we hold the order for review instead of unlocking it, and we contact you by email. If we cannot resolve the difference, we refund the payment.
If a Report you paid for is not in your library within one hour of paying, write to [[SUPPORT_EMAIL]] with the order reference shown on the order page.
Lawyer to confirm: the delivery description, in particular that the moment of delivery is the confirmation of payment and not the return to the Service.
5. Corrections and new editions
A correction replaces the edition's text for every buyer and carries a correction note. Corrections may also change the title or summary. They are free.
A new edition of a Report is a new product with its own price. It is bought separately; the edition you bought stays readable under these Terms. We are not obliged to publish corrections or new editions.
6. Delisting and withdrawal
We may delist an edition at any time: it is then no longer sold and no longer appears in the catalog, but buyers keep reading it.
We may withdraw an edition, for example because of a rights problem or a serious error. A withdrawn edition can no longer be read by anyone, including buyers; your library shows it as unavailable. For each purchase of a withdrawn edition made within the twelve months before the withdrawal, we refund the price paid or, with your agreement, give you an equivalent Report, and we tell you by email. A payment that reaches us after an edition was withdrawn is refunded in full.
Lawyer to confirm: the twelve-month look-back for refunds after a withdrawal, and whether an equivalent Report may be offered in place of a refund.
7. Refunds
Because a Report is delivered immediately, purchases are final, except in these cases:
- Not as described. If the full edition is materially different from what its free preview and summary describe, write to [[SUPPORT_EMAIL]] within 14 days of the purchase and say what differs. We refund the price if we agree.
- Not delivered. If a payment was taken and the Report never reached your library, we fix the delivery or refund the payment.
- Withdrawal. As described in section 6.
Refunds go back to the card that paid, through Stripe, and usually appear within 5 to 10 business days.
What a refund does to your access:
- A full refund of a payment removes every Report of that order from your library. The Reports can be bought again.
- A partial refund (for example one Report of an order of several) does not remove anything by itself. We tell you which Report the refund covers, and that Report is then removed from your library.
Lawyer to confirm: the final-sale rule for digital content and its exceptions, the 14-day window, and whether any US state consumer law requires a different cancellation or refund right for this product.
8. Disputes and chargebacks
If you ask your card issuer to reverse a payment (a dispute or chargeback), access to every Report of that order is suspended while the dispute is open and stays suspended if the dispute is decided against us. If the dispute is decided in our favor, access returns. An order that was fully refunded is not restored by the outcome of a dispute.
Please contact us at [[SUPPORT_EMAIL]] before disputing a payment: most problems are solved faster by a refund under section 7. We may refuse further sales to an organization that disputes payments for Reports it has read.
Lawyer to confirm: the suspension of access during a dispute and the right to refuse further sales.
9. Your account
Buying and reading need an account on the Service with a verified email address. You are responsible for what happens under your account. If you delete your account, it can be restored for 30 days; after that, the account, its organization and its purchases are erased, and the Reports can no longer be read or recovered. If the Service closes, we tell you by email at least 30 days before your access ends.
We may give access to an edition without a purchase, for example to a reviewer or a partner, for a stated reason and period. Such access is not a purchase, carries no refund right, and may be withdrawn at any time.
Lawyer to confirm: the notice buyers get if the Service closes (drafted as 30 days by email, with no refund).
10. The content: no advice, no warranty
Reports are educational explainers. They are written by independent authors and reviewed by our editorial team, and they describe markets as the sources available up to each Report's stated evidence cutoff date describe them. They may be out of date on the day you read them. Authors declare their disclosures on their public profile; authors may use AI tools when drafting, and illustrations are labeled with how they were made.
Nothing in a Report is investment, financial, legal, tax, or other professional advice, and nothing in a Report is a recommendation to buy, sell, or hold any security, token, or company. Make your own decisions, and get professional advice where it matters. Company names and marks in a Report belong to their owners and are used only to describe the market.
The Reports and the Service are provided "as is" and "as available". To the extent permitted by law, we disclaim all warranties, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, and non-infringement. If you find an error, use Report a problem on the Report's page or write to [[SUPPORT_EMAIL]]; we look at every report and correct the edition when needed.
Lawyer to confirm: the warranty disclaimer and whether a conspicuous-text requirement (for example capital letters) applies under [[GOVERNING_LAW_STATE]] law.
11. Limitation of liability
To the extent permitted by law, we and the authors are not liable to you for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising from a Report or from these Terms, however caused. Our total liability for all claims relating to a purchase is limited to the amount you paid for the Report concerned.
Nothing in these Terms limits a liability that cannot be limited by law, or a right that consumer law gives you and that cannot be waived.
Lawyer to confirm: the liability cap (drafted as the price of the Report) and the carve-outs.
12. Changes to these Terms
We may change these Terms by publishing a new version on this page with a new effective date. The version in force when you paid governs that purchase. If a change reduces what an existing purchase gives you, we tell you by email before it applies to you.
13. Governing law and where disputes are decided
These Terms are governed by the laws of the State of [[GOVERNING_LAW_STATE]], without regard to its conflict-of-laws rules. Any dispute arising from these Terms or a purchase that is not settled by contacting us is brought exclusively in [[VENUE]], and both of us accept the jurisdiction of those courts. This does not take away a protection that the consumer law of your place of residence gives you and that cannot be waived.
Lawyer to confirm: the choice of law and venue, and the decision whether to use an arbitration clause with a class-action waiver instead of courts (none is drafted here).
